1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the AuditEvidenceAI platform (“Platform”), operated by AuditEvidenceAI Ltd (“we”, “us”, “our”), a company incorporated in England and Wales. By registering for or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you confirm you have authority to bind that organisation. Please read these Terms carefully before use. If you do not agree, you must not use the Platform.

2. Service Overview

AuditEvidenceAI is a software-as-a-service (SaaS) platform designed to support AI governance and audit documentation. The Platform enables organisations to:

  • Register and manage AI systems and related business decisions
  • Build structured evidence packs aligned to regulatory frameworks including EU AI Act, NIST AI RMF, ISO 42001, and NYC Local Law 144
  • Attach supporting evidence to individual controls
  • Generate structured versioned PDF outputs
  • Maintain an immutable audit log

The Platform is a documentation and workflow tool. It is not a legal, compliance advisory, or audit assurance service.

3. Use of the Platform

3.1 Permitted Use

You may use the Platform solely for lawful business purposes in connection with AI governance, audit preparation, and compliance documentation.

3.2 Prohibited Use

You must not:

  • Use the Platform to store or transmit unlawful or harmful content
  • Attempt unauthorised access to the Platform or its infrastructure
  • Use automated tools to scrape or harvest data without prior written consent
  • Resell or sublicense the Platform without written agreement
  • Introduce malware or harmful code
  • Misrepresent your identity

4. Customer Responsibilities

You are solely responsible for:

  • The accuracy and lawfulness of all data and content you input
  • Ensuring your use complies with applicable laws including data protection legislation
  • Reviewing and validating all outputs including evidence packs and PDF exports
  • Maintaining the confidentiality of your login credentials
  • Ensuring personnel who access the Platform comply with these Terms
  • Obtaining necessary consents from individuals whose personal data you process via the Platform

5. Audit Disclaimer

IMPORTANT: AuditEvidenceAI is a documentation and workflow tool designed to support audit preparation. It is not an audit assurance service, a compliance certification body, or a legal advisory service.

The Platform does not guarantee that your documentation will satisfy the requirements of any regulator, auditor, or certification body. It does not provide legal advice or compliance assessments. It does not verify the accuracy or completeness of information you enter. It does not make representations about regulatory outcomes.

You remain solely responsible for your organisation's compliance with applicable laws and regulations including the EU AI Act, UK GDPR, and any sector-specific obligations. Any outputs should be reviewed by qualified legal, compliance, or audit professionals before being relied upon.

6. AI Disclaimer

The Platform incorporates AI-assisted features including guided question prompts, readiness checks, and content suggestions. You acknowledge that:

  • AI-generated suggestions are for informational purposes only
  • AI outputs may contain inaccuracies and should not be relied upon without independent review
  • We do not warrant the accuracy or fitness for purpose of any AI-assisted output
  • You are solely responsible for reviewing and validating any content submitted to or generated by the Platform

7. Accounts and Access

To use the Platform you must create an account using a valid email address and maintain accurate account information. You are responsible for safeguarding your credentials and all activity under your account. Notify us immediately at hello@auditevidence.ai if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms. Administrators are responsible for managing user permissions within their organisation's account.

8. Subscription and Fees

8.1 Free Tier

We offer a free tier including access to a limited number of evidence packs. The free tier is subject to usage limits and may be modified or discontinued at our discretion.

8.2 Paid Plans

Paid subscription plans are available on a monthly basis. Fees are as published on our website.

8.3 Payment Terms

All fees are payable in advance. We use third-party payment processors.

8.4 Cancellation

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.

8.5 Price Changes

We may change subscription pricing with at least 30 days' written notice.

9. Intellectual Property

All intellectual property rights in the Platform are owned by or licensed to AuditEvidenceAI Ltd. You retain ownership of all data and content you input (“Customer Data”). By inputting Customer Data, you grant us a limited licence to process and store that data solely to provide the Platform services to you. You must not copy, reverse engineer, or create derivative works from the Platform without our prior written consent.

10. Data and Security

We process personal data in accordance with our Privacy Policy and Data Processing Agreement, which form part of these Terms by reference. We implement industry-standard security measures to protect Customer Data. You are responsible for ensuring personal data you input is processed lawfully and that appropriate notices have been provided to affected individuals.

11. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted, error-free service. The Platform is provided “as is” and “as available”. We accept no liability for service interruptions caused by factors outside our reasonable control.

12. Limitation of Liability

To the fullest extent permitted by law: our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim, or £500 (whichever is greater); we shall not be liable for any indirect, consequential, or special loss including loss of profits, loss of data, or reputational harm; we shall not be liable for loss arising from reliance on Platform outputs without independent professional review.

Nothing limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify AuditEvidenceAI Ltd and its officers, employees, and agents from and against any claims, damages, costs, and expenses arising from: your use of the Platform in breach of these Terms; your violation of any applicable law; any third-party claim arising from Customer Data you input; or any misrepresentation made by you.

14. Termination

Either party may terminate these Terms on 30 days' written notice. We may terminate or suspend your access immediately where you breach these Terms and fail to remedy the breach within 14 days of notice, you engage in fraudulent or illegal conduct, or we are required to by law. Upon termination, your right to access the Platform ceases. We will retain your Customer Data for 30 days following termination.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice on the Platform at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. For questions: hello@auditevidence.ai
